Terms and condition of sales

 

Generally

Introduction

These general terms and conditions of sale apply when Axel Larsson Maskinaffär AB, company registration number 556057-5036, delivers products and constitutes an integral part of the agreement between you as a buyer and Axel Larsson Maskinaffär AB as a seller.

Definitions

In these General Conditions of Sale, the following terms shall have the meanings set out below. "Product" means each product, material and commodity (per item number) offered by the Seller from time to time within the respective product group; and the Applicable Standard Agreement. In addition to what is stated in these General Conditions of Sale, the standard contract NL 17 shall apply unless otherwise agreed. In the event of any conflict between the contents of these General Conditions of Sale and NL 17 (or any other agreement), these General Conditions of Sale shall prevail.

 

Conditions of carriage

Delivery clause

Unless otherwise agreed, the Free Carrier (FCA) terms of delivery apply as set out in Incoterms 2010. Packaging material costs are charged separately. For deliveries abroad, the Ex Works (EXW) condition applies.

Direct deliveries

If the Seller and the Buyer have agreed on delivery arranged by the Seller, or a carrier engaged by the Seller, directly to the site, construction work or project site, the Buyer shall inform the Seller or the carrier (as applicable) of any special conditions such as availability, goods reception facilities, storage facilities and other conditions of importance for the proper performance of the delivery.

Handling fee / Small order supplement

Unless otherwise agreed, the following applies: A small order supplement of SEK 350 will be charged for all orders whose net value is less than or equal to SEK 2,000.

 

Pricing

Applicable price list

Unless otherwise agreed, the Buyer shall pay the price for each Product as stated in the seller's current price list on the day of delivery of the Product in question to the Buyer. Prices are based on current exchange rates and commodity prices. Axel Larsson Maskinaffär AB reserves the right to make price adjustments in the event of significant changes in exchange rates and raw material prices. The seller's current price list is currently published on www.axel-larsson.se

Discounts

Any discounts in relation to the current price list are stated in the agreement between the Seller and the Buyer and the associated discount letter. No discount will be applied to Products that are net priced in the price list.

Value added tax

All prices are exclusive of VAT unless explicitly stated otherwise.

Payment

Payment terms are 30 days net, calculated from the invoice date. The proceeds must be received by the seller no later than the due date. In the event of a delay, interest on late payment will be charged at a reference rate set by the Riksbank for each period plus 8%. In the event of a payment reminder, a statutory reminder fee will be charged, currently SEK 60.

Invoice fee

For invoices delivered via email or EDI, no fee is charged. For paper invoices, a fee of SEK 50 per invoice is charged.

 

Return Policy

Applicability

This section governs the Buyer's right of return in cases other than faults. In the event of defects, what is stated in the applicable standard agreement or what has otherwise been agreed regarding the seller's liability for defects is applied instead.

Conditions

Any return must be preceded by an agreement between the Buyer and the Seller. The Seller accepts goods in return if the Buyer can prove where and when the Product was purchased by reference to the order, invoice or delivery note. Returns of Products that are not stocked by the Seller may only be made after the return has been accepted by the Seller's supplier. In addition, in order for the Buyer to have the right to return a certain Product (right of return), it is required that:

  • The Product has been purchased from the Seller.
  • The product is in mint condition and is in undamaged original packaging; and the Products included in the same return shipment are packaged separately, in separate boxes/bags and otherwise in such a way as to prevent transport damage.

Time limit

The right of return is limited in time and returns must be made within one (1) year after the goods have been delivered to the Buyer.

Return deduction

Unless otherwise agreed, the following deductions apply to returns:

  • A deduction of at least 30% calculated on the relevant Product's price according to the original invoice.
  • In addition, for non-stocked Products (purchased goods), the Seller has the right to make an additional deduction corresponding to the amount the Seller pays in return deduction to the Seller's supplier and the cost of return shipping from the Seller to the Seller's supplier.

Products that are not returned

Axel Larsson Maskinaffär AB does not accept the following products:

  • Consumables (e.g. screws, bolts, etc.) in opened packaging.
  • Products where the total value of the return order is less than SEK 500.
  • Products that have been adapted to the Buyer, such as specially built valves or instruments, cut hose.
  • Products for which the "best before" date or equivalent has passed.

Return Management

If the Seller chooses to accept the return of a particular Product despite the restrictions above, the Seller has the right to charge SEK 450/hour for sorting and cleaning. If the Seller does not authorize a particular return, the Buyer has the option within five (5) business days either:

  • To pick up the affected Products free of charge at the Seller's return warehouse; or
  • Request that the Seller return the Products concerned in return for the Buyer paying a return fee of SEK 500 per Product and reimburse the Seller's costs for return shipping

Uncollected returns will then be scrapped by the Seller and the Buyer will be charged the Seller's actual cost for such scrapping, but not less than SEK 500 per Product.

Return of Dangerous Products

All Products consisting of or containing chemicals with a hazard symbol and/or UN number must be packaged and labelled in accordance with ADR and shipped separately from other goods.

 

Responsibility

The Seller is not liable for any damage caused by a Product to persons or property, or the consequences of such damage, if the damage occurs when the Product is in the possession of a person other than the Seller. The Buyer shall indemnify the Seller to the extent that the Seller is liable to a third party for such damage or loss for which the Seller is not liable pursuant to this section. If a third party makes a claim for compensation against the Seller or the Buyer due to damage to persons or property, the other Party shall immediately be notified in writing.

Limitation of Liability

Seller shall not be liable for any indirect damage or loss, such as but not limited to loss of profit, loss of production or loss of goodwill, and Seller's total liability shall not exceed the total purchase price of the Products under the agreement between Seller and Buyer. The buyer has no right to claim other sanctions that are not expressly stated in the parties' agreement. For the avoidance of doubt, the limitations of liability under this paragraph shall not increase the Seller's liability if the Seller's liability is further limited by any other provision of the parties' agreements (including the applicable standard contractual clause).
